Terms of Use

1. Acceptance of Terms

By accessing our website, requesting a quote or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services. These terms apply to all visitors, customers and business partners of SVE Sourcing Pty Ltd (ABN: to be inserted) ('SVE Sourcing', 'we', 'us', 'our').

2. Services

SVE Sourcing provides global product sourcing, supplier management, quality control coordination and logistics support services. All services are subject to a separate written agreement or purchase order, which together with these Terms and Conditions constitute the entire agreement between the parties.

3. Quotes and Orders

  • All quotes are valid for 14 days from the date of issue unless otherwise stated

  • Acceptance of a quote constitutes a binding order subject to these Terms

  • Prices are quoted in Australian Dollars (AUD) unless otherwise specified

  • SVE Sourcing reserves the right to amend pricing if product costs, exchange rates or freight charges change materially before fulfilment

  • Orders cannot be cancelled once production has commenced without written consent from SVE Sourcing

4. Payment Terms

Unless otherwise agreed in writing:

  • Payment terms are 50% deposit upon order confirmation, 50% prior to dispatch

  • International orders may require full payment in advance

  • Payments must be made by bank transfer (EFT) or other agreed method

  • Late payments may attract interest at the rate of 2% per month

  • Title to goods does not pass until full payment has been received

5. Delivery and Risk

Risk in goods passes to the customer upon dispatch from the supplier facility or port of origin. Delivery timeframes are estimates only and SVE Sourcing is not liable for delays caused by shipping carriers, customs authorities, natural events or other circumstances beyond our reasonable control. Customers are responsible for all applicable import duties, taxes and customs clearance costs.

6. Quality and Compliance

SVE Sourcing takes reasonable steps to ensure products meet the agreed specifications and applicable Australian standards. However, customers are responsible for:

  • Verifying that products comply with all applicable Australian regulatory requirements before sale or use

  • Obtaining any required certifications, licences or permits

  • Conducting their own quality inspections where specified

  • Compliance with the Australian Consumer Law (ACL) in their dealings with end consumers

7. Australian Consumer Law

Nothing in these Terms and Conditions excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) where to do so would be unlawful. Where SVE Sourcing is required to comply with an applicable guarantee under the ACL, our liability is limited, to the extent permitted by law, to the resupply of the relevant services or the cost of having the services resupplied.

8. Limitation of Liability

To the maximum extent permitted by law, SVE Sourcing's total liability to you for any loss or damage arising out of or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by you to SVE Sourcing in the three (3) months preceding the event giving rise to the claim. SVE Sourcing is not liable for any indirect, consequential, special or punitive loss or damage, including but not limited to loss of profits, loss of revenue or loss of opportunity.

9. Intellectual Property

All content on our website including text, images, logos, graphics and documents are owned by or licensed to SVE Sourcing and are protected by Australian and international intellectual property laws. You may not reproduce, distribute or create derivative works without our prior written consent.

10. Confidentiality

Both parties agree to keep confidential any proprietary or commercially sensitive information disclosed during the course of their business relationship, including pricing, supplier details and operational processes. This obligation survives termination of the business relationship for a period of three (3) years.

11. Dispute Resolution

If a dispute arises, the parties agree to first attempt to resolve it through good-faith negotiation. If unresolved within 30 days, either party may refer the dispute to mediation before the Resolution Institute or a mutually agreed mediator. Legal proceedings may only be commenced if mediation fails to resolve the dispute.

12. Governing Law

These Terms and Conditions are governed by the laws of Queensland, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia.

13. Changes to Terms

We reserve the right to update these Terms and Conditions at any time. Updated terms will be published on our website. Continued use of our services after any changes constitutes acceptance of the new terms.
